Please read these Terms of Service ("Terms") carefully before using the FilingDecoded Chrome extension or the FilingDecoded.com website (collectively, the "Service"), operated by FilingDecoded ("we", "us", or "our").

By installing the extension or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

FilingDecoded is a Chrome extension that automatically summarises financial filings and earnings reports into a structured plain-English snapshot. The Service operates on SEC EDGAR, Companies House UK, ASX Australia, SEDAR Canada, Seeking Alpha, The Motley Fool, and investor relations pages.

You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you are 18 years of age or older.

4. Free Tier and Paid Subscriptions

Free tier: The free tier provides 10 summaries per calendar month. Usage is tracked by device identifier and IP address. Free tier usage limits are enforced automatically and reset on the first day of each calendar month.

Paid subscriptions: Paid subscriptions provide unlimited summaries. Subscriptions are billed monthly ($7/month) or annually ($59/year) and are processed by Paddle, our Merchant of Record. All payment obligations are governed by the terms presented at checkout.

Cancellation: You may cancel your subscription at any time via the billing portal link provided in your subscription confirmation email. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

Changes to pricing: We reserve the right to change subscription pricing with 30 days' notice to existing subscribers.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to circumvent the free tier usage limits through technical means
• Reverse engineer, decompile, or disassemble the extension
• Use the Service to generate summaries at a volume that constitutes abuse of our API infrastructure
• Resell or redistribute the summaries produced by the Service as a commercial product without our written consent
• Use the Service in a manner that violates the terms of service of any financial filing platform on which it operates

6. Accuracy and Limitations

FilingDecoded summaries are generated by an AI language model and may contain errors, omissions, or misinterpretations. The accuracy of summaries depends on the quality and structure of the source document. We make no warranty that summaries are complete, accurate, or current.

If a data field cannot be found in the source document, the output will state "Not disclosed". We do not invent or estimate financial data.

7. Intellectual Property

The FilingDecoded extension, website, and brand are our intellectual property. The structured output template and interface are protected. Financial filing content summarised by the Service remains the property of its original publishers and is subject to their respective terms.

8. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use the Service.

Our total liability to you for any claims arising from use of the Service shall not exceed the amount you paid to us in the three months preceding the claim.

9. Service Availability

We do not guarantee uninterrupted or error-free operation of the Service. We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

10. Third-Party Services

The Service relies on third-party services including Anthropic (AI processing) and Paddle (payment processing). We are not responsible for the availability, accuracy, or conduct of these third-party services. Your use of those services is governed by their respective terms of service and privacy policies.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. We will update the "Last updated" date at the top of this page. For material changes, we will notify paid subscribers by email. Continued use of the Service after changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the UAE.
